Supplier Terms & Conditions

Terms and conditions of agreement between Organiser, World Trade Group Ltd,
and Client for use of service.

1. Scope of Agreement

These terms and conditions (“Terms”), together with the order submitted by you, the Client (whether online or in hard copy) (“Order”), comprise the “Agreement” between you, the Client, and us, World Trade Group Ltd (“Organiser”) governing your use of our Service.

2. Subscription Fee includes

• One full listing in the HR Alumni supplier directory for 12 months
• Access to all end user profiles in the member directory
• Extensive search facilities to find HR directors by industry sector, company size and key focus areas
• use of the knowledge centre
• Ability to submit opinions and comments in the knowledge centre
• Register and attend the HR Alumni expert webinars for free.
• Unlimited access to the HR Alumni on-demand webinar series –.
• Personal page in the searchable supplier directory allowing members to contact you directly
• Link to your company website
• Enhanced package includes the upload of one whitepaper or case study to the knowledge centre per quarter, four in total per 12 months.

3. Fees and Renewals

• Access to and use of the site will begin immediately following receipt of payment in full by the Client.
• The Service is provided on a year-to-year basis. The 12 month period will commence from date of payment, not date of order (if different).
• Client will pay to Organiser the full amount of the Total Fee  at the time of order by credit card (excluding Diners Club)
• The Service will be automatically renewed every 12 months on the anniversary of the activation date, at the fee being charged at that time.
• Your credit card on file will automatically be charged the then-current fee for the Service at the commencement of each renewal year.
• Organiser will issue a reminder notice before the end of each 12 month period.
• Clients wishing not to renew should notify Organiser in writing prior to the commencement of the new 12 month period. Service will then cease at the end of the current 12 month period.
• Payment for the Service is non-refundable.

4. Acceptable Use Policy

In accessing and using the content of this Website, you agree to abide by all applicable laws, regulations and codes of conduct and you will not engage in any activities relating to this Website that are contrary to such laws, regulations and codes.
You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons who access this Website through your internet connection are aware of these terms, and that they comply with them.
In using and accessing WTG Alumni or this Website, you agree not to:
• upload, post, transmit, share, store or otherwise make available any content or initiate communications that we deem to be harmful, threatening, unlawful, defamatory, infringing, abusive, inflammatory, harassing, vulgar, obscene, fraudulent, invasive of privacy or publicity rights, hateful, or racially, ethnically or otherwise objectionable;
• use WTG Alumni or the Website for any illegal purpose or otherwise for any purpose which may violate or breach any applicable laws;
• upload, post, transmit, share or otherwise make available any unsolicited or unauthorised advertising or promotional materials, junk mail, spam, pyramid schemes, chain letters or any other form of solicitation;
• upload, post, transmit, share, store or otherwise make available or initiate communications which include any information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (including without limitation, addresses, phone numbers, email addresses and credit card numbers of any third party, insider information, or any other proprietary, private and/or confidential information);
• upload, post, email, transmit or otherwise make available any content or do any act that infringes the intellectual property or other proprietary rights of any person;
• falsely state, impersonate, or otherwise misrepresent your identity, including but not limited to the use of a pseudonym, or misrepresenting your current or previous positions and qualifications, or your affiliations with a person or entity, past or present;
• Upload, post, email, transmit or otherwise introduce or make available any material that contains software viruses, trojans, worms, logic bombs or any other computer code, files or programs that are malicious, technologically harmful or otherwise designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• reproduce, publish, redistribute or modify any of the content or materials contained in this Website(including commercially exploiting or using it as part of any library, archive or similar service);
• stalk, harass, intimidate or threaten any other person on or through this Website;
• interfere with, disrupt or attempt to gain unauthorised access to this Website or any servers, networks or databases connected to this Website, or disobey any requirements, procedures, policies or regulations of networks connected to WTG Alumni;
• attack this Website via a denial-of-service attack or a distributed denial-of service attack or use or allow any person to use any robot, spider, other automated software, device or other process to monitor, crawl or copy any web pages, data or the content contained in this Website or for any other unauthorised purpose;
• remove the copyright or trade mark notice(s) from any the content of this Website (or any copies thereof); and,
• allow data or content from this Website to be made available to others or downloaded onto any electronic storage media or distribute or transfer data from this Website in any form (printed, electronically relayed, posted to public list services or bulletin boards, or magnetically stored) to, or for the benefit, of others.

We reserve the right to remove any content posted by you or other members which we consider in our absolute discretion to violate our Acceptable Use Policy or which may infringe any party’s intellectual property, privacy or any other rights. We retain the absolute right to prevent you from accessing this Website, without prejudice to any of our accrued rights, where we in our sole discretion consider it right to do so or that you are contravening our Acceptable Use Policy or any other provisions of these Terms and Conditions.

All information, commentary and other materials provided to you by WTG on this Website are for informational purposes only and are believed to be reliable but are not intended to amount to advice on which reliance should be placed.
WTG disclaims all liability and responsibility arising from any reliance placed on such information by any person and further, disclaims all guarantees, conditions or warranties as to completeness, timeliness, adequacy or accuracy of such information. Your access, use, and reliance upon such information are entirely at your own risk. The opinions expressed in this Website are subject to change at any time without notice.
WTG makes no warranty that this Website or any of the Services provided will be available or accessible at all times and WTG shall not be held liable or responsible to any person in any way in the event of any interruptions, system malfunctions or delays which may affect your access to or use of this Website or any of the Services.
WTG aims to update this Website regularly, and may change the content at any time. If the need arises, we may suspend access to this Website, or close it indefinitely. In the event that any of the material on this Website becomes out of date at any given time, we are under no obligation to update such material.

Except as otherwise expressly stated in these Terms and Conditions, WTG’s materials in this Website (or any part of them) and including all intellectual property rights in such materials may not be copied, transmitted, displayed, performed, distributed, licensed, altered, framed, stored for subsequent use, or otherwise used in whole or in part in any manner without WTG’s prior written consent or licence. Further, you must not use any of the materials on this Website (or any part of them) or WTG’s intellectual property rights in them for commercial purposes without obtaining a licence to do so from WTG (or our licensors).
You may download information contained on this Website and print out a copy for your personal use, so long as you do not remove any copyright or other notice as may be contained in such information, as downloaded. 7. WTG Communications

In the course of providing you services, WTG may need to communicate with you via email from time to time. You agree to receive emails from us which are specific to your account and necessary for the normal functioning of WTG Alumni, including any welcome emails which help inform new users about various features of WTG Alumni. You also agree to have your name and/or email address appear in the header of certain communications which you initiate through WTG Alumni.

8. Links

This Website may contain links to websites controlled or offered by third parties. WTG shall not be liable or responsible for any information, materials, products or services posted or offered on any such third party websites, or any link contained on a third party website or any changes or updates to such websites. By providing or creating a link to any third party website, WTG does not in any way endorse or recommend any products or services offered or any content or information contained on such third party website.

9. Indemnity

You agree to indemnify and hold WTG and any of our officers, employees and agents harmless from and against all and any expenses, losses, liabilities, damages, costs or expenses incurred or suffered and any claims or legal proceedings which are brought or threatened, in each case arising from your use or conduct on this Website and/or a breach of the Acceptable Use policy and/or any of these Terms and Conditions.

10. Processing Your Data

We process information about you in accordance with our privacy policy. By using this Website, you consent to such processing and you warrant that all data provided by you is accurate. Without limitation of the terms and conditions set forth in our Privacy Policy, you understand and agree that WTG may disclose personally identifiable information if required to do so by law or in the good faith belief that such disclosure is reasonably necessary to comply with legal processor protect the rights, property, or safety of WTG, its users, and the public.

11. Enforceability

If any provision of these Terms and Conditions is held by any court or other competent authority to be void or unenforceable in whole or part, these Terms and Conditions shall continue to be valid as to the other provisions thereof and the remainder of the affected provision.

12. Entire Agreement

These Terms and Conditions constitute the entire agreement between you and WTG and governs your use of WTG Alumni, superseding any prior agreements between you and WTG.

13. Applicable Law

This Website, all content contained herein and your use of them shall be governed by and construed in accordance with English law.
